Terms and Conditions for SIA elProt - Electronics Manufacturing Service

  1. Acceptance of Terms: By engaging with SIA elProt (hereinafter referred to as "elProt"), you agree to abide by these Terms and Conditions. These terms constitute a legally binding agreement between you and elProt.
  2. Services Provided: elProt offers comprehensive electronics manufacturing services, including but not limited to PCB assembly, prototyping, component sourcing, final assembly, box build, and testing. Our services cover the entire spectrum of electronic manufacturing to meet the diverse needs of our clients.
  3. Orders and Quotations: All orders placed with elProt are subject to acceptance and availability. Quotations provided by elProt are valid for a specified period, after which they may be subject to change.
  4. Payment Terms: Unless otherwise agreed upon in writing, the default payment method for elProt services is prepayment. Payment is due upon receipt of the invoice, and orders will be processed upon confirmation of payment. Alternative payment arrangements may be discussed and agreed upon between elProt and the client, subject to mutual agreement and approval.
  5. Cancellation and Changes to Orders:
    1.  Cancellation: In the event that a client wishes to cancel an order, elProt reserves the right to assess whether any materials related to the order have already been procured. If materials have been ordered, the client will be responsible for covering the expenses incurred up to that point.
    2. Changes to Orders: Should a client request changes to an existing order, elProt will evaluate the impact of these changes on the manufacturing process and associated costs. The client will be informed of any additional costs resulting from the changes, and approval will be sought before proceeding with the alterations. The client is responsible for any extra costs incurred due to changes in the order.
  6. Intellectual Property: Customers are responsible for ensuring that they have the necessary rights to use any intellectual property provided to elProt for manufacturing purposes. elProt respects intellectual property rights and will not be held liable for any infringement resulting from the use of customer-provided materials.
  7. Quality Assurance and Non-Compliant Products:
    1. Review and Resolution: In the event that a non-compliant product is discovered, elProt will conduct a thorough review of the product to determine the cause of the issue. Depending on the nature of the non-compliance, elProt will either repair the product or manufacture a new one to meet the required specifications.
    2. Client Responsibilities: The client is responsible for conducting any necessary diagnostics to identify issues with the product. It is incumbent upon the client to clearly demonstrate that any identified issues stem from the manufacturing process. elProt is not liable for design-related issues and is not obligated to diagnose product malfunctions or design flaws.
    3. Test Procedures: To ensure the quality of the manufactured products, clients are strongly encouraged to provide comprehensive test procedures. These procedures will assist elProt in verifying the functionality and compliance of the products with the specified requirements.
  8. Confidentiality: elProt recognizes the importance of confidentiality in business relationships. All information provided by the customer, including but not limited to designs, specifications, and business data, will be treated with the utmost confidentiality.
  9. Limitation of Liability: In no event shall elProt be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of its services, whether based on contract, tort, strict liability, or any other legal theory.
  10. Governing Law and Dispute Resolution:
    1. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Latvia.
    2. Dispute Resolution: In the event that a dispute arises between elProt and the client, both parties agree to make good faith efforts to resolve the dispute through amicable negotiations. If the parties are unable to reach a mutually acceptable resolution through negotiation, the dispute shall be submitted to the courts of Latvia for resolution.
  11. Modification of Terms: elProt reserves the right to modify or update these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on the elProt website or other communication channels.
  12. Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
